Infinite Acquisitions Partners LLC (“Infinite”) has entered into a nonbinding letter of intent (“LOI”) with Oceaneering International, Inc. (“OII”) to acquire Oceaneering Entertainment Systems (OES), the entertainment division of OII, through an asset acquisition. In tandem, Infinite and Falcon’s Beyond Global, Inc. (Nasdaq: FBYD) (“Falcon’s Beyond”) have announced a separate nonbinding LOI for Falcon’s Beyond to operate OES, leveraging its expertise in immersive storytelling and themed entertainment. Infinite is a significant stockholder in Falcon’s Beyond.
OES: A Legacy of Innovation
OES has been a leader in creating cutting-edge ride and show systems for more than 25 years, providing award-winning entertainment solutions to the world’s premier theme park operators and developers. The company’s portfolio includes trackless ride vehicles, flying theaters, and other advanced systems.
Over the past two decades, Falcon’s Beyond and OES have collaborated on numerous global themed entertainment projects. If the transactions proceed, Infinite would take ownership of OES while Falcon’s Beyond would assume operational control, including the continuation of key staff and the advancement of OES’s offerings.

Looking Ahead
The transactions remain subject to further discussions, due diligence, and the execution of definitive agreements. There is no guarantee that binding agreements will be finalized.
If completed, this strategic alignment would position OES for continued success while strengthening Falcon’s Beyond’s platform as a global leader in themed entertainment and storytelling.
